These Terms of Use ("Terms") govern your access to and use of spiceprotocol.xyz, our applications, and related products and services (together, the "Services") provided by SPICE Protocol ("SPICE", "we", "us" or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. You are responsible for ensuring that your use of the Services is lawful in your jurisdiction. The Services are not offered to any person in any jurisdiction where doing so would be contrary to applicable law.
2. Nature of the Services
SPICE is a technology services provider. We publish information, provide interfaces, and develop software that interacts with decentralised protocols operating on public blockchains. SPICE does not take custody of user assets, does not provide financial, investment, legal, or tax advice, and is not a bank, broker, dealer, or investment adviser. Nothing on the Services constitutes an offer or solicitation to buy or sell any financial product.
3. No reliance & no advice
All content is provided for general informational purposes only and may not be accurate, complete, or current. You should not rely on it as the basis for any decision. You are solely responsible for evaluating the merits and risks of any interaction with the Protocol or any third party, and you should obtain independent professional advice where appropriate.
4. Assumption of risk
Use of blockchain-based protocols involves significant risk, including but not limited to the potential loss of digital assets, smart-contract vulnerabilities, network failures, volatility, and regulatory uncertainty. By using the Services you acknowledge and accept these risks. You are responsible for the security of your wallet, private keys, and credentials; SPICE cannot recover them on your behalf.
5. Acceptable use
You agree not to:
- Use the Services in violation of any applicable law, regulation, or sanctions regime.
- Interfere with, disrupt, or attempt to gain unauthorised access to the Services or related systems.
- Introduce malware, exploit vulnerabilities, or engage in any fraudulent, deceptive, or manipulative activity.
- Use the Services to launder money, finance illicit activity, or evade sanctions.
- Copy, scrape, reverse engineer, or create derivative works from the Services except as expressly permitted.
6. Intellectual property
The Services, including all text, graphics, logos, and software (excluding open-source or third-party components governed by their own licences), are owned by SPICE or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose. The SPICE name and marks may not be used without our prior written permission.
7. Third-party services
The Services may reference or link to third-party websites, applications, wallets, or protocols that we do not control or endorse. Your use of any third-party service is governed by that party's terms, and SPICE is not responsible for it.
8. Disclaimers
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components.
9. Limitation of liability
To the maximum extent permitted by law, SPICE and its contributors, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, data, or digital assets, arising out of or relating to your use of (or inability to use) the Services, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless SPICE and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services or your breach of these Terms.
11. Changes to the Services & Terms
We may modify, suspend, or discontinue any part of the Services at any time. We may also update these Terms from time to time; changes take effect when posted, and the "Last updated" date will be revised. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. Any dispute will be subject to the exclusive jurisdiction of the courts located in Singapore, except where applicable law provides otherwise.
